MEMORANDUM AND ARTICLES OF ASSOCIATION OF SIKKIM AKADEMI (AMENDMENT) 2016
Whereas it is considered expedient to establish a state organization to work diligently for the development of Sikkimese Culture and literature, to foster and co-ordinate literary and artistic activities in Sikkim and promote cultural unity of the State and of the nation, it is hereby resolved as follows:
1. A State Academy of Literature, Performing Arts and fine Arts shall be called “SIKKIM AKADEMI”
2. HEADQUARTERS: The Headquarters of the AKADEMI shall be at Gangtok, Sikkim.
3. JURISDICTION: Working Jurisdiction of the AKADEMI shall be the whole of the Indian Union.
4. ORGANISATION:
(i) The Akademi shall be a body duly registered under notification No. 2602A/H dated 25 th March 1960 and shall have a perpetual seal and emblem, and may sue and be sued in its corporate name.
(ii) The Akademi shall be apolitical and fully autonomous body.
(iii) The official languages of the Akademi shall be English, Hindi, and Nepali.
(iv) The Akademi shall create administrative, technical, ministerial, and other posts and make appointments in accordance with the rules and regulations of the Akademi and shall make appointments thereto with the proper concurrence of the Government of Sikkim.
(v)
(a) The entire administrative and other day to day expenditure of Sikkim Akademi shall be borne by the Government of Sikkim.
(b) There shall be a Corpus Fund fully financed by the Government.
5. AIMS AND OBJECTIVES:
(i) It shall aim at the holistic development of recognized languages including all the regional languages recognized by the State of Sikkim, literature, performing arts, and fine arts of all the people of the State.
(ii) It shall promote co-operation among literatures and artists for the development of literary and cultural activities of the State.
(iii) It shall carry out survey and scholarly research programmes in literary and artistic traditions and disseminate information thus collected by way of documentation and publication.
(iv) It shall assist individuals, non government organizations or institutions engaged in research, development and propagation of Sikkimese cultural heritage.
(v) It shall encourage:-
(a) Linguistic survey of the languages and dialects of Sikkim.
(b) Improvement and development of the scripts of the various languages in the State.
(c) Teaching and learning of these languages.
(d) Publication of books in the languages of Sikkim.
(vi) It shall organize periodic seminars of the grammarians, lexicologists and etymologists. According to their recommendation, it shall under an adhoc committee of grammarians and lexicologists, introduce such changes in the languages (s), which confirm to the changing times.
(vii) It shall encourage translation of literary works from one of the State languages to the others and also from Indian languages to the State languages and vice versa.
(viii) It shall assist and encourage the publication of cultural and literary works, including bibliographies, dictionaries, encyclopedia, anthology, monograph etc. on various languages of the State.
(ix) It shall assist and encourage the production of standard visual and performing arts.
(x) It shall encourage the development of amateur dramatic activity, children’s theatre and rural theatre in its various forms and to achieve these establish literary and art centers in various localities.
(xi) It shall encourage setting up of training institutes to provide training in the performing arts and fine arts, including training in planning and production of plays, stage set up, scenic paintings, lighting and sound systems.
(xii) It shall assist talented artists by:
(a) Sponsoring them for higher training in their respective fields;
(b) Providing facilities for budding talents to receive training under proficient painters, dancers, singers and musicians.
(xiii) It shall award prizes and distinctions and give recognition to Sikkimese writers and artistes for outstanding works.
(xiv) It shall provide royalty against works which it has published and produced as per Akademi norms.
(xv) It shall extend financial assistance to the aged writers and artists of the State who have rendered meritorious service in the field of literature and arts.
(xvi) It shall sponsor scholars and artistes to tour other States for their research works.
(xvii) It shall galvanize the State Archives/Museum to preserve scientifically all such articles, records, reports, notes, artifacts, old and new, related to the field of literature and fine arts, which are of historical value.
(xviii) It shall establish a well equipped National Library.
(xix) It shall sponsor or hold conference, workshops, seminars, festivals and exhibitions in furtherance of Akademi’s objectives or any of them.
(xx) It shall disseminate information about its activities through periodical publications.
(xxi) It shall promote cultural and literary exchange with other States and establish relation with individuals and institutions engaged in similar enterprises.
(xxii) It shall take all such lawful actions as are incidental or ancillary to the promotion and advancement of the objectives aforesaid or any of them.

6.1 PRESIDENT
6.1.1 The office of the President shall be nominative. The incumbent shall be nominated by
the Government of Sikkim for a period of THREE years.
6.1.2 The President shall have the powers to take decision/decisions on behalf of the General
Council or the Executive Board when circumstances so warrant, but the
decision/decisions should be ratified by the respective authorities in their next meeting.
6.2 VICE PRESIDENT
6.2.1 The Vice President shall be nominated by the Government of Sikkim for a period of THREE YEARS.
6.2.2 The Vice President shall in the absence of the President for whatever reason, exercise all the functions and powers of the President.
6.3 GENERAL SECRETARY
6.3.1 The General Secretary shall be the Principal Executive Officer of the Akademi and shall be appointed by the Executive Board with proper concurrence of the Government of Sikkim and on such terms and conditions as the Executive Board may determine.
6.3.2 The General Secretary shall be the ex-officio General Secretary of the General Council, the Executive Board, the Finance Committee and all other Standing Committee which may be set up by the General Council or the Executive Board but shall not be deemed to be a member of any of these authorities.
6.3.3 Shall be the duty of the General Secretary:-
(i) to be custodian of all records and subject to the general supervision and control of the Executive Board to manage the property and funds of the Akademi for the purpose for which they are granted or allotted.
(ii) to conduct the official correspondence on behalf of the authorities of the Akademi;
(iii) to issue all notices convening meetings of the authorities of the Akademi and of all committees appointed by any one of these authorities;
(iv) to keep minutes of all the committees appointed by any one of these authorities;
(v) to maintain the records of the Akademi including minutes of the meeting of the General Council, Executive Board and other Committees.
(vi) to execute the contracts in the name of the Sikkim Akademi as and when necessary, after approval of the terms and conditions to be entered in the contract.
(vii) exercise such power and perform such other functions discharge such other duties as may be deemed necessary by the President;
6.4 SECRETARY
6.4.1 Four Secretaries shall be appointed by the Executive Board for such period and on such terms and conditions as the Executive Board may determine.
6.4.2 Each of the Secretaries shall be in-charge of the four wings of the Akademi viz:
(1) Language and Literature
(2) Performing Arts
(3) Fine Arts and
(4) Accounts and General Administration And assist the General Secretary in discharging his/her duties and responsibilities.
6.5 FINANCIAL ADVISER
6.5.1 The Financial Adviser shall be the Executive Board with prior concurrence of the Government of Sikkim.
6.5.2 The Financial Adviser shall be the Ex-Officio Financial Adviser to the General Council, Executive Board and the Financial Committee.
6.5.3 The Financial Adviser shall:-
(i) be responsible for the preparation of annual estimates and statements of accounts and for their presentation to the Executive Board which shall then be presented to the General Council;
(ii) subject to the general supervision and control of the Executive Board be responsible for proper utilization of all funds for the purpose for which they are granted and allotted;
(iii) exercise such other powers and functions as may be assigned to him/her by the Executive Board.
6.6 AUTHORITIES OF THE AKADEMI
The following shall be the authorities of the Akademi:-
(i) General Council
(ii) Executive Board
(iii) Finance Committee and
(iv) Any other Standing Committee or Committees which the General Council or the Executive Board may set up for discharging any one or more of their functions.
7. GENERAL COUNCIL
The President shall, within one month from the date of his appointment as President, shall initiate action to constitute the General Council.
7.1 The General Council shall consist of the following 15 members, namely:-
(i) President
(ii) Vice President
(iii) Financial Adviser
(iv) One representative of each of the Human Resource Development and Cultural Affairs and Heritage Department, respectively;
(v) Two educationists of repute;
(vi) Two literary persons of outstanding merit;
(vii) Three persons who have excelled themselves in the field of history, philosophy, archaeology, archives and fine arts viz. painting, choreography, musicology and sculpture.
(viii) Two recipients of Sahitya, Sangeet and Lalit Kala Akademi Awards,
(ix) One representative of Namgyal Institute of Tibetology.
Note 1. – Persons at serial no. (iv) to (viii) shall be nominated by the State Government and person at serial no. (ix) shall be nominated by the Namgyal Institute of Tibetology.
Note 2. – Persons to be nominated shall be of impeccable integrity, good conduct and repute who have contributed in the field Language and Literature or Performing Arts or Fine Arts or Academic field and persons who have excelled in the field of history, philosophy and archaeology.
Note 3. – The General Council shall co-opt one member from each of the communities whose language has been recognized as a State language. They shall not have the voting right.
7.2 POWER AND FUNCTIONS OF THE GENERAL COUNCIL
The General Council shall have the following powers and functions:-
(i) It shall consider and approve the proposal submitted by the Executive Board regarding the programmes with modification wherever necessary.
(ii) It shall frame its own rules, regulations, bye laws and rules of procedure within the framework of the Memorandum and Articles of Association of the Akademi with prior concurrence of the State Government for smooth functioning of the works of the Akademi.
(iii) It shall consider and decide the matter of conferring Honorary Fellowship of the Akademi to persons having outstanding merit in the field of literature or arts or culture in National or International level.
(iv) It shall cause to draw annual budget, consider and finalize it.
(v) It shall lay down policy directives, with the prior concurrence of the Government of Sikkim, for effective and purposeful pursuit of the objectives of the Akademi.
7.3 MEETING OF THE GENERAL COUNCIL
(i) The General Council shall ordinarily meet once a year at a place and time to be fixed by the President. A special meeting may, however, be called at any time by the President either on his/her own initiative or on the written request of not less than two thirds of the total number of members of the General Council.
(ii) 51% of the total members of the General Council shall form the quorum.
8. EXECUTIVE BOARD
8.1 The Executive Board shall consist of the following members:-
(i) President
(ii) Vice President
(iii) Financial Adviser
(iv) 6 persons nominated by the Government of Sikkim from among its nominees in the General Council.
8.2 FUNCTIONS OF THE EXECUTIVE BOARD
The Executive Board shall have the following powers and functions:-
(i) It shall exercise the executive authority of the Akademi subject to the policy directives laid down by the General Council under Articles 7 (2)
(ii) It shall be responsible for the supervision and control of the work of the Akademi and its office.
(iii) It shall prepare projects for submission to the General Council for consideration.
(iv) It shall draw up and submit to the General Council the annual budget of the Akademi subject to the financial limits prescribed by the Finance Committee.
(v) It shall prepare the annual report and accounts of the Akademi for consideration of the General Council.
(vi) It shall appoint the General Secretary, Financial Adviser, Secretaries and staff of the Akademi with prior concurrence of the State Government.
8.3 MEETING OF THE EXECUTIVE BOARD
(i) The Executive Board will meet once in three months but in case of the emergency the Board may meet whenever situation so warrants.
(ii) 5 members of the Board will form the quorum of any meeting of the Executive Board.
9. FINANCE COMMITTEE
9.1 The Finance Committee shall be composed of the following 6 members:-
(i) Vice President – Chairman
(ii) Financial Adviser – Member Secretary
(iii) Two members elected by the General Council
(iv) Two members of the Executive Board.
9.2 FUNCTIONS OF THE FINANCE COMMITTEE
(i) The Finance Committee shall consider and advise the Akademi on any matter referred to it by the President or the General Secretary of the Akademi.
(ii) The Committee shall consider the budget estimates of the Akademi and shall make the necessary recommendation on the estimates before submitting its report to the Executive Board. It shall also prescribe the limit for total expenditure within a financial year.
(iii) The Accounting Year of the Akademi shall be the financial year followed by the State Government.
9.3 AUDIT
The Accounts of the Akademi shall be audited by a registered Chartered Accountant appointed by the General Council after obtaining concurrence of the State Government.

10. TENURE OF OFFICE
The tenure of office of all the members elected and nominated shall be 3 years.
11. GENERAL
11.1 The General Council shall have the powers to amend rules, regulations, bye laws and rules of procedure with prior concurrence of the State Government.
11.2 The General Council may by a majority of not less than 3/4 th of the total members, recommend to the Government of Sikkim amendment of the provisions of the Memorandum and Articles of Association of the Akademi and the decision of the Government of Sikkim thereon shall be final and binding.
11.3 In case of any of the posts of officers and functionaries of the Akademi, as described in Article 6 herein above, falls vacant and it is likely to remain vacant for a continuous period exceeding one month, it shall be filled up in such a manner as may be decided by the Government.
11.4 Each member of the Akademi except the President shall have one vote. In case of a tie the President shall have the right of casting vote.
11.5 The Akademi shall frame its own rules and regulations regulating the service conditions, conduct and discipline of the employees of the Akademi with prior approval of the State Government.
11.6 The Akademi shall receive grants, bequests, donations and deal in properties in furtherance of its objectives.
11.7 If upon the dissolution or winding up of the Sikkim Akademi there remains after satisfaction of all debts and liabilities any property whatsoever, the same shall not be paid to or distributed among the members of the Akademi but shall be given or transferred to Government of Sikkim.
11.8 No portion of the income or the property of the Sikkim Akademi shall be paid, applied or transferred directly or indirectly by way of dividend, loan or otherwise howsoever by way of profit to any members of the Akademi or any person claiming through any of the members.
11.9 The executive Board shall be the competent authority to take disciplinary action against any of the officer or staff and impose penalty in the line applicable to officer and staff of equivalent rank and status in the Government of Sikkim; Provided that no penalty shall be imposed without good and sufficient reason and without giving him/her a reasonable opportunity of being heard in respect of the charges made against him/her.
11.10 . Notwithstanding anything contained in Article 11.9, the Government of Sikkim reserves the right to initiate action against any of the officers and functionaries of the Akademi if it is satisfied that there exist sufficient grounds to initiate action against any of such officers or functionaries; Provided that no penalty shall be imposed on any officer or functionary of the Akademi without giving him/her a reasonable opportunity of being heard in respect of the charges framed against him/her.
12. If any question arises as to the interpretation of the provisions contained in the Memorandum and Articles of Association, the same shall be referred to the Government in the Culture Affairs and Heritage Department and the decision of the Government thereon shall be final.

WHO WE ARE
An Autonomous Body under the aegis of Culture Department, Government of Sikkim
Sikkim Akademi was formally inaugurated on 6th July 2002. It’s an autonomous body formed by the Sikkim Government, basically to develop culture and literature of Sikkim, to promote and co-ordinate literary, linguistic and other fine art activities as well to form a cultural bridge between the State and the Nation.Generally, Sikkim Akademi has been established as a State Akademi, wherein its ambit of activities accommodate literature, linguistics, paintings, sculpture, music and theatre etc. This organization is registered under Sikkim govt. notification 1/CA/02, 11th April 2002, Certificate of incorporation No. 1277, Volume 1. Through the Akademi in its constitution has incorporated a total of 23(twenty-three) objectives, it has focused mainly in ‘to work dedicatedly towards development of culture, language and literature of Sikkim.
